Imagine you are one of those people who have a nice big mahogany desk, with a gloss finish set in a big corner suite office which comes complete with a picture window, a break out area, a couch to lie down on in moments of stress, a quietly playing stereo sound system, fridge, plush carpet and loads of wee executive toy like things of your choosing.

Imagine, just for a moment, that outside your office you have the executive German car that is almost compulsory when you work in such an office. Added to that, you also have the benefit of a large six figure salary, a pension scheme, substantial holidays, a bonus scheme which nicely enhances your already excellent salary, fantastic perks and trips abroad as part of your job, and that you fill a position which leads to invitations to the most fantastic events, do’s, and sporting occasions imaginable.

Imagine the respect you must command from your peers, your family and friends.

Imagine the awe that you must be held in at dinner parties and social events when you are introduced to strangers for the first time– strangers who will have heard your name, and know of your position in society.

Imagine the personal and professional respect you must command from others in your field — or any other field for that matter — when you go to conferences and meetings in foreign cities and with foreign counterparts.

Imagine the envy that many others sometimes feel for someone who has succeeded in business and society to this extent.

Then imagine that the big office described above is at Hampden?

What a bummer!!

Now, I mention all of this because if you were one of the big cheeses at at Hampden, I wonder just what you do with yourself when the large rosewood door of your office closes behind you when you get in there each morning?

Maybe you make a coffee? Read the papers? Check the mail? Go to a meeting about the latest in 3G or is it 4G pitches being installed in a ground or two in the Shetlands?

However, no matter what you do and who you speak to THAT file is always there— always at the corner of your desk, neatly up there at the top left hand corner just beyond the desk top golf set and  above the Newton’s cradle with the balls that spell your name or whatever.

That file– the one that relates to the finances, compliance, directors details and ownership of Rangers Football Club.

At least that is what the top of the file says. Though to be fair it is a continuation file… continuing from the one that was opened two months ago and is fit to burst already with reports, memo’s and letters- which in turn was a continuation of the one before that and the one before that and the one before that and on and on.

Maybe that is not the correct name for the club?

Maybe that is something that can be clarified  at the next meeting with the Directors and CEO of the club— whoever they might be at that time?

No matter where you go in the room, you can see that file from every position. There is just no getting away from it.

Who owns The Rangers?

There are all sorts of reports, share prospectuses, memos, deeds, documents, contracts, letters, e-mails all asking the same thing. And there you are— none the wiser.

Please clarify this, please clarify that, are there any signed but  unrecorded documents, or contracts?

Are the Companies House records accurate? is the Land register accurate?

At the end of the day you just lie on the couch, place a cold cloth over your head and hope it will all go away.

Then the accounts come out. Oh the figures are shocking and they confirm that most of the people you negotiated with to get their team playing football somewhere after the collapse and liquidation of RFC PLC have exited stage left with huge severance cheques.

They now live in France, or Singapore or the Cayman Islands and you can bet they will never darken a door in Mount Florida on a wet February morning ever again.

But that is not the worst of it — the bleeding internet is full of leaks— documents, letters, e-mails, contracts, company forms and all sorts.

You wouldn’t mind if the documents leaked were ones that you had seen before, but in the main they are things that you have never seen and never had disclosed.Every day someone calls and asks ” Have you seen the latest?” and of course you haven’t so you stand there feeling like a complete chookie!!!

Every day you call the compliance and monitoring guys:

” Eh have you seen this? Have you been notified that he is a director?”
” No boss – never seen that? Never knew it existed?”
” So who owns the company if that is correct?”
” Eh Dunno boss — not sure of anything over there any more!”
“Ok have you checked the titles with the lawyers?”
” yes but the title as registered looks ok, but there is no guarantee that it hasn’t been sold to someone else and they have not registered their title for the moment!”
” Have you spoken to the lawyers? Have you asked for clarification?”
” yes Boss — the Lawyers don’t really answer our questions– well at least not fully!”
” What about these accounts – there are 57 pages there – what do they tell us?”
” Well they tell us that the figures are not good, boss, but not immediately critical.”
” Are they paying their taxes?”
” Appear to be boss– but we can’t be sure.can we? We were told they were paying their taxes before and … well you know the rest.”
” Ok, but Pinsent masons rule out the Whyte guy being involved?”
” Ah well not really – they don’t go into the company he says he owns – they sort of ignore that part!”
” But they carried out an independent investigation, surely?”
True boss, but the independent investigation was only into what the non independent guys wanted investigating Boss, and they appear to have finished their report without speaking to all the witnesses.”
 ” Ok but the accounts – what do the accounts say about Whyte being the real owner — I mean they are from Deloittes for God sake – they must make the position clear?”
” Well we have had a look at them boss and in that regard the accounts are King Kenny!”
” King Kenny?”
” Aye King Kenny Boss – with regard to Whyte’s claim they say ” maybes aye– maybes naw” and they leave it at that”
” Jesus, well have you written to the Directors?”
” Aye – half the letters have come back marked “Gone away”.Boss”
” Do you know who the shareholders are?”
” Naw Boss”
“Do they have a bank account and a bank reference ?”
” Naw Boss”
” Who’s coming to the next meeting from their side?”
” Dunno Boss”
” Is there anything you can tell me that lets me close this file and get it off my desk for good?”
” Naw boss”
” Well who did we grant membership to last year?”
” The first time or the second time Boss?”
” What do you mean – first time or second time?”
” We started out granting membership to one company and then changed it to another”
” Two companies – owned by the same people?”
” Dunno Boss– but they sounded the same.”
” And which one got a licence?”
” Dunno boss”
” What?”
 “Was the licence not granted by Mr Longmuir boss? And then ratified by us as a formality?”
” Why are you asking me, you are the compliance guys?”
” Aye but we were told it would all be ok by … well by someone ….. and by Mr Longmuir”
” When did he tell you that?”
 ” Told us one day at Ibrox Boss – I think it was at half time?”
” Half Time?”
” Aye – though it might have been full time boss …..  free bevvy and sandwiches so can’t quite remember”.
” Well who has the paperwork?”
” Lost boss”
” Lost?”
” Yes Boss – it was meant to come up from the SFL but never appeared. Turns out that the SFL was run as an unincorporated body and none of its records etc, are intact or have ever been audited …… Boss.  Mr Ballantyne might have them in his garage Boss! ……… Boss? ….. are you still there? Boss?”

 

The man in the corner suite leaves the phone dangling, goes to his fridge for a cold drink and switches on the executive plasma hanging on the wall by way of the remote control on his desk.

The screen beams into life and an advert for the brand of soft drink that he is holding fills the wall. The very same brand of soft drink that has just been announced as the official soft drink to partner Scottish Football.

The executive, looks at his drinks can, looks at the file on the corner of the desk, looks at the abandoned phone and finally looks at the screen just as the speakers spell out clearly ………….. the benefits of coming from a long line of Fannies.

This is Scottish Football Administration in the 21st Century.

    I believe an AIM company needs one more non-exec than executive directors. Easdale is a significant shareholder, meaning there is no independent non-exec on the board able to become chairman.

    Not sure whether that’s correct, Tif. This is what is says on the AIM site:

    Chairman and Chief Executive:
    The roles of chairman and chief executive should not be held by a single individual. If the chairman is also the chief executive, there should be a clear explanation of how other board procedures provide protection against the risks of concentration of power within the Company.

    Independent non-executive directors:
    The Company should have at least two non-executive directors (one of whom may be the chairman) and the Board should not be dominated by one person or group of people.


  2. Rangers don’t currently have anyone doing either just now though and could Mr Easdale really take the role as Chairman, given that he apparently controls around 25% of the shares. He doesn’t own all of them but he does have the voting rights, under proxy from the owners.

    Neither do they have two non-executive directors, it’s Easdale and that’s it.

    I think the point Paul is making is that it is not a properly formed board for a PLC and as such can’t really do very much, including calling an AGM.

    One would almost suspect that Stockbridge and Mather might have known this.

    There is absolutely no proper corporate governance at RIFC PLC now.

    Police file report on alleged sectarian singing by soldiers during Armed Forces Day celebrations at Ibrox

    A DOSSIER has been sent to Army top brass and court prosecutors following complaints that soldiers sang sectarian songs at the match between Rangers and Stenhousemuir on September 28.

    ARMY chiefs and court prosecutors have been sent a dossier on alleged sectarian singing by troops at Ibrox.

    The procurator fiscal will now consider the police report and decide whether to bring criminal charges.

    And any soldiers found guilty of an offence could also be subject to military disciplinary action.

    There was outrage when a video emerged from a Rangers game against Stenhousemuir at which 400 military personnel were guests of honour.

    Police received a string of complaints that soldiers, who had been invited to Ibrox to mark Armed Forces Day, sang sectarian songs.

    It was also alleged that they chanted about the death of IRA hunger striker Bobby Sands and some posed for a photograph with a “Keep Ulster Protestant” scarf.

    Thousands of people viewed footage from the September 28 match after it was posted on YouTube and circulated on social networking sites.

    Chief Superintendent Andy Bates said officers were investigating “concerns raised regarding the conduct of a number of people attending the game”.

    When the investigation was launched, the MoD said sectarian behaviour would not be tolerated and
    individuals would be dealt with “severely” if they were found to have taken part.

    An MoD source said the soldiers involved in the scarf picture had been identified by top brass and could now face disciplinary action.

    They are believed to have claimed that they were posing for an official picture when someone asked them to hold the scarf.

    An MoD spokeswoman last night said they had been assisting the police with their investigation.

    A police spokeswoman said their inquiry was now complete.

    She said: “Following a full inquiry, a report on the circumstances was submitted to the procurator fiscal and the military.”

    Rangers FC said they could not comment on the allegations due to the ongoing investigation.

    By the way, I read on KDS that Stockbridge’s house in Bearsden has just been put up fpr sale. If that’s true, then I feel the the end game may be upon us. At least for this act of the panto.

    But if, as seems possible, their board is not ‘valid’ as per AIM rules (two non-execs, no chairman, no CEO) then it is not able to call an AGM. So who does it? Would the NOMAD have to take on that responsibility? Can the NOMAD appoint temporary directors to steady the ship as it heads towards the rocks, sorry, as it heads towards its AGM?

    I have no wish to reignite or contribute to the debate on the Celtic resolution especially with the long-awaited second meltdown at Ibrox which I have always believed has the potential to expose many of the SFA and CO machinations in its wake.

    Nor do I have any need to jump to the defence of Auldheid as he is more than capable of doing that for himself.

    He, like myself, has more than one core area of interest which he posts on and has built up a bit of expertise in all of them – neither of us are one-trick ponies 😉

    I also have been interested in DOS and EBTs and I can assure you that plenty in the SMSM are fully aware of the mechanics and implications of these schemes and so is the SFA and CO. The problem is that the SMSM has decided not to ask any detailed questions for fear it would have to print the truth.

    We are therefore left with a number on conspiracy theories because the SFA isn’t a transparent organisation and it’s up to all of us to exert as much pressure as possible particularly through well-researched posts with as wide a distribution as possible.

    I also dislike intensely being told by other posters what I should be posting on and what I should be ignoring – especially if it’s an area I have put a lot of time, research and thought into. Of course if what I post on is of no interest to anyone else well that’s life and anyone who posts lives with that risk.

    People like Auldheid have built respect for their contributions because they care deeply about certain topics and put in a lot of time and effort into opening our eyes and minds and even though I might not agree with what a poster has argued I fully respect their right to make their own decision as to what they post on as long as they remain within the remit of the blog.

    Hearts should step closer to ending their administration next week when a court in Lithuania convenes to confirm the bankruptcy of UBIG.

    UBIG, the holding company that Vladimir Romanov used to control Hearts, must have bankruptcy administrators appointed before a CVA can be agreed.

    UBIG holds 50% of the shares in Hearts, which will be required along with Ukio Bankas’ 29.9% stake, plus ownership of Tynecastle Stadium, for the fan-led Foundation of Hearts to complete a takeover of the club.

    With the UBIG assets frozen, negotiations to release the shares in Hearts have not been able to take place.

    UBIG declared insolvency in July after having its assets frozen while owner Vladimir Romanov’s business empire collapsed.

    A court hearing was held at the start of October, with an announcement on the appointment of bankruptcy administrators – the Lithuanian equivalent of liquidators – due within three weeks of that date.

    However the court will now reconvene on October 24 to consider the case and appoint an administrator.

    Lithuania recently implemented new insolvency laws, a move which has contributed to the new court date.

    Speaking to STV, Gintaras Adomonis of Valnetas UAB, the firm overseeing the bankruptcy of Ukio Bankas, said: “The Lithuanian Court of Appeals had to announce a decision regarding the appointment of a bankruptcy administrator to UBIG.

    “The decision had to be final for both institution of insolvency and appointment of administrator. However, the Court decided to re-open examination of the case, assigned three judges and set case hearing on October 24.

    “We are not aware what the grounds of the decision are, and it was quite a surprise for us. However, nothing can be done to speed up the procedure and we need to wait for the final decision.

    “We expect that the administrator to UBIG shall be appointed on 24th of October. “

    Adomonis confirmed that Valnetas continue to talk to Foundation of Hearts through the club’s administrator, BDO.

    HMFC Ltd, who made a bid for the club which was rejected in favour of the Foundation in August, has made a new proposal to Valnetas to buy the 29.9% shareholding for a nominal sum, leaving Tynecastle Stadium to be sold off to pay the creditors of Ukio.

    However Adomonis said that the Foundation bid was still the one being negotiated.

    He added: “Ukio Bankas management committee, advisory body to the administrator of Ukio Bankas, shall assess the situation and bids this week and should adopt a decision how to proceed further. Foundation of Hearts are now considered as the preferred bidders by the committee.

    “Ukio Bankas has a pledge over 29.9% of shares, therefore this stake can be sold to the investors as soon as the price will be approved by the court or Ukio Bankas creditor’s committee, when it is established.

    “Tynecastle Stadium is a part of a deal which is being negotiated by BDO, as administrators of Heart of Midlothian Plc.”

    “The Board is committed to the highest standards of corporate governance.”

    It goes on to say:

    “At all times, the Company will have a balanced and experienced Board who will seek to eliminate conflicts of interest. The Board will meet monthly and other times as necessary. The Board will provide leadership, strategic oversight and a controlled environment to sustain delivery of value to all shareholders and success to the Company.”

    All the assurance needed for any shareholder fans and any other fans who are having doubts about the company that owns the company that owns the club that runs the football team 😆

    The Ibrox faithful bought it hook, line, and, ironically, sinker..

    Thanks for bringing that to my notice, been busy catching up on here and haven’t looked at anything to do with my own club for a few hours. It’s certainly good news that things appear to be getting under way again but I will continue to wait for definite, positive, news before putting the champagne on ice (not that a celebration should be called for if Hearts do survive).

    Yet if many of the SMSM are to be believed, King’s tax affair amounted to no more than you or I receiving a red reminder for a utility bill then settling up at that point.

  59. Chico’s performance on the BBC tonight was absolutely depressing and sadly not surprising. If he was on my payroll, I’d pay him to shut up at all times. I was almost laughing at some parts of it (but if I’d started, I might not have stopped, ever!), especially his insane defence of King and not knowing what “convicted” means!! Bleating about Walter (again), silent about Murray and trying to shout over the top of any (admittedly lame) criticism. Even Billy Dodds tried to ask if it wouldn’t be better for The Gers to move forward without going back to the past FFS!

    I used to quite enjoy his around the world radio show but tonights performance has convinced me he is a stuttering, closed minded, ranting, mis/ uninformed little apologist for criminals who have robbed us all of hard cash and sporting fairness!

    He again repeated that he was told “waaaay back” that DK would be appearing at the end of it all. WHO TOLD HIM? He also understood that the fit and proper thang was being discussed by the SFA who have denied it (altho I bet they have). TE should have been on that like a shot but to be fair, I think he realised that trying to reason with an increasingly manic and voluble Chico was just not worth it. He is no longer connected to reality and should be pootling about on a boat on the Clyde or restrained and allowed to drool in private and NOT at TAXPAYERS (remember them Chico?) expense!!!

    Chico Young showed himself up and let us all down tonight.

    The BBC REALLY need to sort this out. His mic seemed to be a bit louder than TEs too but that might just be my speakers 🙄 or the fact he was begining to shriek like a cornered, fatally wounded peacock.

    Here is the text of the letter I am now this minute going down to the pillar-box to post, even though it’s pissing down.(As ever, real name and address supplied)

    Re: Mr ‘Chick’ Young, of BBC Scotland ‘Sportsound’

    Freedom of speech is cherished by me as much as by any broadcaster or newspaper journalist.
    But freedom of speech does not extend to freedom to misrepresent and/or tell lies.
    I wish therefore to complain in the strongest possible terms about the outrageous attempt by ‘Chick ‘ Young, on tonight’s ‘Sportsound ‘, to mislead the listening public as to the guilt of Mr Dave King, as a convicted tax evader in the republic of South Africa.
    In spite of being corrected in point of fact by fellow panellist Tom English, Mr Young continued (excitedly, almost hysterically) to imply that King had, by ‘settling’ with the South African Revenue Service, not been convicted of any crime, and that there was therefore no question of him being considered as being not ‘fit and proper’ person in the eyes of the Scottish football Association.

    The South African court records show that King pleaded guilty to scores of charges of tax evasion, but managed, by plea bargaining- including arranging to pay some considerably lesser sum than the total that was actually owed- to avoid several jail sentences.
    He therefore has a criminal record, in South Africa.
    If Mr Young is ignorant of that fact, shame on him as a journalist (and shame on you for employing such a useless person).
    If he is not ignorant of that fact, then he should be instantly dismissed as a heavily partisan purveyor and disseminator (courtesy of our BBC licence fees!) of untruths in a matter of considerable public interest.

    Further, the same Mr Young asserted that he knew that the SFA had already been talking to Mr King and had assured him (King) that they would have no objection to Mr King being involved in a boardroom capacity in a Scottish football club.

    This outrageous statement was too much even for his fellow panellists, one of whom actually checked with the SFA and got a flat contradiction of what Young had said.

    I must ask you to investigate this matter rigorously and urgently, and deal with Mr Young as severely as his outburst of partisan, misleading propaganda deserves.

  67. Things keep seeming to repeat themselves within the corridors of power at TRFC/RIFC. Ahmad stupidly gets caught posting incognito on ‘Rangers’ internet sites – ‘forced’ to resign. Green, for no good reason, shows the world he is a racist – ‘forced’ to resign. Now Mather, stupidly, goes to court to defend the indefensible – ‘forced’ to resign. Now only Stockbridge remains, I wonder what ‘faux pas’ he’ll commit? Is Stockbridge hanging around merely to ensure Ahmad’s last cheque gets signed should the court find in his favour? One quantum of solace, for worried bears, might be that now there isn’t a quorum of directors there’s no one there to transfer Ibrox to RIFC – if it hasn’t been done already 🙄
