Beware the angry Shareholders — they might just demand an answer!

Good Evening,

Whilst it is understandable that the continuing events at Ibrox remain a hot topic among all Scottish Football Fans — especially given the views of some sections of the press on such events– the never ending rush down the marble staircase is certainly not the only show in town.

The other morning we were treated to the “scoop” that Alistair Johnstone is afraid that Craig Whyte– the once proclaimed Multi Billionaire from Motherwell- may well still be pulling all the strings at Ibrox! This is a fear which is shared by those who walk the corridors of Hampden Park as they, too, are terrified of the prospect of Whyte returning in some shape or form and coming back to haunt them, especially as he has been deemed unfit and proper, banned sine die, and generally ridiculed for his past actions.

However, the Hampden jackets know fine well that their realm only stretches so far and that if by means of the proper application of company law, contract or some other piece of paper Whyte controls the shareholding of the self proclaimed “parent company” to the football club then they are in a fix. In fact, I will wager that they just would not know how to deal with such a situation as after all RIFC PLC neither holds a licence to play football nor is a member of the SFA and so, on the face of it, who owns it has nothing to do with them.

At this juncture, no one in authority knows who Blue Pitch Holdings are and, strangely, no one in authority knows who Margarita Holdings are either! Yet these two “holdings” whoever they may be, may well hold all the power down Govan way…… with the SFA completely powerless to find out who they are let alone get into any dialogue with them. All the SFA can do is talk to the appointed Directors and officers of The Rangers Football Club Ltd.

This, is a most unsatisfactory state of affairs.

Meanwhile, they will have no difficulty in finding out who the new shareholders of Dunfermline Athletic are. Those shareholders will come from the fanbase and will be clearly registered at Companies House, with the result that ultimately those fans/shareholders will appoint Directors who will then attend meetings and speak and opine on their behalf and in essence be the ” Voice of Dunfermline” at Hampden.

Perhaps, similar will follow from Heart of Midlothian?

However, those at Hampden — if they have any sense at all– will be most wary of events happening in the east end of Glasgow come November.

In the middle of the month, Celtic PLC will hold its AGM and amidst the items on the agenda is the fan driven notion that the Club— through its Directors—- should go further in holding the SFA to account and enquire into the granting of club licences, and in particular how it granted Rangers a club licence that allowed entry to the Champions League in 2011 when the small tax case was outstanding.

The Celtic board have deemed this motion as “Unnecessary” and in support of that contention have released documentation showing that they raised this very issue with the SFA on behalf of the shareholders and fans. Further– and here is the rub— The Directors reveal that they were not satisfied with the SFA response and have disclosed that they took the matter further and wrote to UEFA.

Ultimately, UEFA also provided a reply, which backed the SFA approach and which Celtic had little option but to accept  in the absence of admissible contradicting evidence..

It is on this basis, that Peter Lawell and Co say the AGM motion is not necessary. Note that saying that the motion is not necessary, is not at all the same thing as saying that what the motion seeks to achieve is not necessary or does not have the support of the board!

There will be those at Hampden who severely hope that the Celtic Board are successful in voting this measure down as obviously they deem their original reply sufficient and would like to end the discussion there.

However, my own view, is that whether the motion is successful or not, there are those within the SFA who will recognise there is trouble staring them in the face here. Real Trouble!

Let’s recap for a moment and draw some threads together.

Celtic’s past Chairman, Dr John Reid, said only a couple of years ago that the SFA was clearly not fit for purpose. He did so in the context of events surrounding Neil Lennon and other matters, but was unshakably robust in his condemnation of an institutionalised uselessness which he saw pervaded the Hampden ranks.

Prior to that, Henry McLeish produced a report which stated that he too had concerns about the Governance of Scottish Football and called for openness and transparency.

In the intervening period, we have seen Mr David Longmuir, former Chief Executive of the Scottish Football League, find himelf without a position following reconstruction– and this partly as a result of club chairmen being apparently kept in the dark about his payment, bonuses and expenes. I understand that there was considerable anger from some at the way in which they had been treated by Mr Longmuir.

Then there is Mr Campbell Ogilvie, El Presidente, who himself benefited from a Rangers EBT and who held sway at Ibrox during a period of time when Rangers– by their own admission— made unlawful and illegal payments to three high profile players in breach of tax laws and SFA/SPL rules. It is these breaches and the consequent Wee Tax Bill which has caused all the angst among Celtic fans and has lead to the highly regulated legal step of tabling a motion at the club’s AGM.

Basically, the position seems to be, that as at the due date when the appropriate documents and declarations were made for a Euro Licence by Rangers for 2011, the wee tax bill was outstanding and due. If it was overdue, then the SFA could not and should not have granted them a licence……. and potentially Celtic should then have been put forward as Scotland’s representatives in the Champion’s League.

However, that did not happen, and Ranger’s were granted a licence– something that the Celtic Directors clearly felt was not correct.

They may have disagreed with the awarding of the licence because there were those at Rangers at the time who declared that a payment to account had been made to the tax office– allegedly £500,000– and that they had entered into an agreement to make payment of the balance by instalments. Had that been so, then all would have been hunky dory and no more would have been said.

Alas, however, no such payment appears to have been made at all, and no such agreement was entered into and so, on that basis, the tax bill was overdue and outstanding as at 30th June in terms of Article 66 and as such no Euro Licence should have been granted.

However, the argument does not end there.

Auldheid, has posted frequently on these pages about the ins and outs of the licensing provisions and the mechanism and so I will leave that detail to him as he is far more expert in these areas than me.

Now, one of the SFA functions is to have an auditor– someone who can check books, contracts, paper work and so on, and it is part of the SFA licensing function to be satisfied that all the paperwork is of course correct and in proper fashion before they issue any licence.

In this case, it is alleged that the SFA did not perform their function properly.

In relation to the wee tax case, it is said that either they did not make sufficient enquiry of Rangers re the payment to account or the agreement which they were told was in place. At the time it was mooted in the press that no such agreement was in place as at the relevant date ( June 30th ) and a simple check with the revenue would have shown the truth of the matter.

Yet, for whatever reason, no such check appears to have been made, and if you recall a Radio Scotland interview with Alistair Johnstone, Rangers submitted the forms, the SFA replied with one or two enquiries about the BIG tax case which were answered, and thereafter the Licence appears to have simply dropped through the letter box without further ado.

You will also recall that the existence of the wee tax case became known BEFORE Craig Whyte bought David Murray’s shareholding in May 2011. In fact it was the subject of News Paper headlines weeks before the deal was completed, and so the fact that there was a wee tax bill was well and truly in the public domain.

When it came to filling in the appropriate forms,either, the SFA were mislead by those then at Rangers with regard to that tax bill, OR, they simply failed to do the requisite checks and make reasonable enquiries before they issued the licence.

However, the uncomfortable fact also remains, that one of the chaps who must have been in the know re the admittedly unlawful and offending side letters, contracts and payments to the three players concerned  was Campbell Ogilivie who was on the Rangers Board at the relevant time when the contracts and irregular payments were made under the Discount Options Scheme  from 1999 to 2002/3. Indeed he may even have initiated the first payment to Craig Moore in 1999. I reiterate that no one has ever contested that this was an unlawful scheme, and the irregular payments and paperwork are not denied in relation to that scheme.

There are Celtic shareholders who believe, rightly or wrongly, that when it came to the granting of the Euro Licence, the SFA did not play them fair on this occasion and that the wheels within Hampden were oiled in such a way that Rangers were favoured and Celtic were disadvantaged. It is a point that looks to have already been considered by the Celtic Directors in 2011, with the result that they concluded that they should formally write to the SFA and seek clarification.

However, we now have the prospect of those same directors having to go back to Hampden and say   ” Sorry, but I am forced to bring this up by my shareholders. I have a legal duty to them to enquire further”. Even if the motion is refused, the point has been made– there are shareholders who are demanding answers– just as shareholders of other clubs demand answers about the ever so secret 5 way agreement and other matters which have hitherto been not for public consumption.

The SFA have nothing to fear of course as they can simply repeat their previous answers,demonstrate that all was above board, and rest easy in their beds.

Except that answer did not satisfy the Celtic Directors on a previous occasion as they decided to take the matter to UEFA, and it would appear that some Celtic shareholders remain dissatisfied with the known stance of the SFA and so they want the Directors of the club to delve further. Without wishing to point out the obvious, if it turns out that the 2011 Licensing process was somehow fudged and not conducted rigorously or that those at Hampden were in any way economical with the truth or omitted certain details from the previous explanation, or covered up a failure in procedures—- well such omissions have  a habit of becoming public these days whether that be through the internet or otherwise.

The point here is that the actions of Hampden officials are coming under organised, legal and planned corporate scrutiny over which they have no control. The Blazer and club mentality that was once so widespread within the governing bodies is under increasing attack and is being rendered a thing of the past.

In short, the move by Celtic shareholders, is making it plain that they will demand proper corporate governance from their club in ensuring that any alleged failure in corporate governance by the SFA or SPFL is properly investigated and reported on.

Of course, if it turns out that the 2011 Licensing process was somehow fudged and not conducted properly for whatever reason, then it could be argued that Celtic were disadvantaged in monetary terms along with other clubs who may have been awarded Europa League licences, then the consequences could be cataclysmic. Hence a tendency to circle the wagons rather than admit to failures in the process that need addressing.

It is this reluctance to come out and accept that the licensing process appears to have failed, say at what point the process failed and what needs to be done to address those failures that in many ways has driven the resolution. It is clear to all that something is amiss but the SFA will not admit it, probably from fear of the consequences of doing so?  Perhaps some form of indemnity, a lessons learned enquiry with no prejudice might help?

It would come as no surprise to me at all if there were those at Hampden who live in dreaded fear of admitting that their processes were flawed and that a grave mistake was made. Under these circumstances, there may well be those at Hampden who simply wish that Celtic and their fans would just go away!

    My introduction to sectarianism was quite amusing and I put it down to him not being the brightest of people and have mostly since assumed that the vile delusion of Orangemen was mainly held by the working class masses and that middle to upper class Rangers supporters would be more aware of the reality and, at the very least, refrain from showing their bigotry to the world. Messrs Johnston, Murray (how many are there?) and others have cleared that misconception up for me. Sad, sad individuals!

    This should probably be viewed in the context of the leaked Jack Irvine emails concerning Mr Greig. Sorry, is not in Mr Irvine’s lexicon, so we have this rather tacky PR parody instead.

    The world has changed since Leveson, it is clear that Mr Irvine remains a totally un-reconstructed tabloid hack, with an increasingly tin ear for post-Levenson PR.

    Rangers would get more traction in the media, if they binned Mr Irivine and brought in a firm which had no previous connections to Rangers. Admitting errors is not the Ranger’s way, so I expect we will see more desperate ploys like this.


  3. Very disappointed that M Murray has to come out with that.

    He seems to be adopting the old thinking, ‘sons of Struth’,’WATP’, ‘no surrender’.

    The old thinking led Rangers to liquidation, it led their fans to follow Whyte, Green etc as they systematically ripped them off.

    £18 million loss on £19 million turnover, cash running out, divided board, divided fan base.

    It’s not as if the old thinking failed or anything!

    They want their club back, the way things are going they will get a debt ridden shell of a Company with no assets when the so called Venture Capitalists are finished stripping it bare.

    I think it is too late. Writing was on the wall when D Murray had to sell to Whyte, any slim chance for a successful Football Club arising from the carnage was lost when Green appealed to the WATP, No Surrender mentality.


  4. Something that is just as sad and shocking to me is that just how inured we have become to these attitudes over the term of the demise of those fellows down Govan way.

    Maybe I am wrong…but I would have reckoned that a Manager screaming “We are The People” over the Tannoy at Ibrox would have raised more than a few eyebrows previously and attracted a fair amount of criticism……but post liquidation when Super Ally does just that it is almost praised in some quarters….

    Now a few months on and an ex-chairman feels he can glibly utter the phrase well known and associated with Northern Irish Loyalist Paramilitaries with impunity….

    Oh hold on…just recalled that other idiot Alistair Johnston and his ridiculous “surrender no” nonsense…..

    It is absolutely shameful that these people are pandering to the bigots in their own grubby little war in the hope that the mob will assist them in bully boy tactics ….

    Shameful….utterly shameful……when you look back and see just how far down this has all sunk it is revealing….and damning that no one dares to call these people out for what they are…..

    It has become clear that they can say whatever they want. Going as far as McCoists’s infamous name names quote which led to serious threats to other people’s safety. So much so that the Police actually sent regular patrols to an innocent man’s house and instructed him on how to open letters in his own home.

    If you can get away with that then the occasional “We are the people” or “No surrender” rabble rousing is mild stuff.

    Unfortunately I feel I need to add my own input on this…. I have lived far, far away from Scotland for over ten years…and unfortunately I have had a more than a couple of unpleasant experiences in that time….with Scottish people and always outside Scotland…all of them senior professional types….maybe they feel more liberated when they travel away and less likely to be called to account…

    One particular instance a few years ago found me in the business lounge in the Taj Hotel in New Delhi, having “No Pope Of Rome” screamed in my face from one gentleman and two charming ladies who were senior types from the Glasgow City Council…they had just been at the closing ceremony of the Commonwealth Games as official delegates…..and what provoked this? What started as an innocuous conversation between fellow countrymen turned particularly nasty rather quickly when it became apparent that I did not support the same football team as they did…granted they were obviously well oiled on the free (taxpayer funded…ha!) hospitality they were enjoying…. I got the distinct impression they felt that it was perfectly acceptable for them to behave in that manner far away from home….

    Makes you wonder what they are like in private…..

    No doubt some may take the above tale as one of exaggeration…trust me there is no need to exaggerate it…it was that bad….and I felt thoroughly ashamed to be tainted by any sort of association with these sorts on Neanderthals….. professional types or not……

    EDIT – I also need to add that on many more occasions I have met perfectly respectable Scottish fans of the Govan club, both professional types and not that have been great company and fine upstanding human beings…. Though these days they tend to be almost ex-supporters who are appalled at the way some of those supposedly in charge have been behaving in recent years


  7. I’m a bit depressed regarding the BT UK CL deal. I know it was only speculation and wishful thinking mainly, but I genuinely thought changes towards cross border competition/ European leagues or something along those lines had been identified as a genuine option in the rebranding or freshening up of European competition. If not by the ruling bodies, at least by the clubs themselves who could be doing with more money since they are much better at spending it than making it.

    I also find it hard to believe that Sky, and the reliance on them by the football world elsewhere for funding, has taken this boot in the plums without having something in it for them. If not, do Sky throw the dummy out and play hardball with what they are paying elsewhere.

    I have a hope that nods and winks have been given out, and that something else may be along soon enough to satisfy Sky sports requirements, otherwise it all smells a bit setanta- esque.

    I cant quite put my finger on it, but there’s a distinct wiff of something not quite right. Am I reading too far into this?

    The thing is setanta did not have enough backing to take on sky.

    BT have more overall revenues and overall profits than sky.

    With sky biting into BT broadband/phone profitable business and the convergence of bradband/phone/TV/mobile , BT decided to fight back against sky knowing that if they did not Sky would eventually damage BT.

    Whether it is good news for the SPFL I do not know.

    What I would observe that £300 million GBP per year for Champions league football , Will increase the prizes, win bonus and market pool for any Scottish representative that gets there.

    However, as now those clubs reaching CL groups self perpetuate in many leagues across europe.

    Any football club/business has to look at large increase in turnover ( a lot of which goes to profit !) which CL group stage football brings and use it wisely. But this is not the fault of the club which is able to qualify for the CL group stages.

  11. The new BT rights deal for the Champions League is interesting. What does it mean though for whoever represents Scotland should they get to the group stages. This is what UEFA say about the distribution of the TV market pool money, which is where the BT money will be allocated from.

    “Monies from the market pool were divided according to the proportional value of the national TV market allocated to each individual club, among other factors. As a consequence, the amounts given varied from country (or national association) to country.”

    Last season Celtic and Arsenal got the same number of points . Man Utd also got to the last 16 ,however no British club got beyond the last 16. They all departed the competition at that stage , so we should be able to draw a conclusion based on their respective TV Pool money for last year, as to what it might mean moving forward.

    Last year the 5 British clubs earned roughly €80 million from the market pool of which Celtic got €8 million. So as near as makes no difference 10% is paid to the Scottish Representatives in the group stage. The new deal is more than double the current one , so it’s reasonable to expect that the market pool could be worth an extra €8 million a year to the Scottish representatives.It isn’t quite as straightforward as that, however its a decent assumption.

    It also means SKY will have some very very high profile slots to fill. They will need other rights to replace a flagship product. This may be a catalyst for some form of competition involving Scottish & English teams. Whats certain is you won’t replace the Champions league with any sport other than football, and the obvious choice is to look at the biggest draw available. You can rule out foreign leagues, as even with Barca & Madrid, the viewing times for La Liga , mean audiences are weak.

    If you were Sky , who would you talk to ? Who has a high high profile in the UK, and who will bend over backwards to accomodate ANY time slots you want ?

    I totally agree and it was the first thing I thought when I heard of the deal, it is not the same as The Premiership where SKY increased the amount of games it could show for the same money, the only way this could happen in the Champions League is there is a new format of some kind…. It’s coming!

    Oh, and on a point made earlier. This is a bad decision for the smaller teams, they are already disadvantaged with the current setup and this just makes it worse.

    Complication is UEFA specify there is no other Live top league football action on in competition to the UEFA CL.

    Hence I seem to remember a 6 pm kick for a celtic game a few years ago.

    However,you can have a live lower league game on, such as the championship, league one

    So, should the SPFL strike while the iron is hot with the SEVCO games? (BT sport can show them against champions league this season (2013/2014) and next (2014/2015) )

    Or will the journey be prolonged by the spivs allowing the SPFL to show SEVCO on sky against BT sport CL games later (2015/2016 season and beyond.

    UEFA dictate to maximize their revenues and profits.

    They will accept more money from anyone and keep their advertisers happy!

    Then they will take the combination of TV money and syndicated advertising and divide it up in balance of keeping the owerful european clubs happy and keeping the associations who give UEFA their power happy.

    Then somewhere down the line the good of European football is introduced.

    Am I right in saying that the SPFL owns the rights to all domestic football in Scotland and that it is a condition of playing in our leagues that you need to sign up to the collective agreement.

    The AGM is shaping up to be heated, i predict more heat than light and nothing resolved. Most likely the battle will continue with other messiahs (or very naughty boys) flitting in and out,

    The current organisation is not financially visble and is going to run out of money in the short term. That is the backstop. It shoulfd focus the minds of all involved but it doesn’t because they are too busy with the in fighting.

    Should a victor emerge they will need to raise finance urgently. Nobody has indicated that they are is going to provide Finance at all never mind enough to get them back to SPL contention.

    Of course you can raise funds through other sources as shown recently. These have been shown to be expensive to come by and come with nasty parasites attached..

    The assets are an issue. Ibrox has a value as Football ground but is too big and expensive for the current team. Murray Park is likewise too expensive and has restrictions on alternative uses. As security for major funding they are limited providing they have not been pledged or sold off. Last time the market was tested last year the whole thing was bought for £5.5m, would you lend that sort of money on that security now ?

    Should the assets be shifted on at substantially higher value it brings BDO and gratuitous alienation to the fore.

    Worst of all ‘WATP’, ‘No surrender’ attitudes mean that the fans will not accept a viable business plan. They will drop like flies when not being fired up by pointless slogans and doomed promises.

    BT have a wholesale deal with Sky.

    That s why TopUpTV is no more! TopUpTV allowed digitial terrestrial vewers to premium sportsthrough a CAM/set top box with a subscription.

    TopUpTV previously had sky sports 1 & 2 only. Handy for scottish football os sky sorts 4!

    Now BT have sky sports 1 & 2 but only availabe through BT vision box with infinity broadband there is no digital terrestrial option any more.

    Note the positon of virgin is to sit back and get on with their play on TV/phone/broadband/mobile and carry both sky sports and BT sports.

    Ultimately, Rangers had ten million pounds ( at most and some – up to 2.5 million I believe – may have been a credit facility) in June. Its expenses are 2.5 million a month – its income millions short of that figure.

    No-one has the wherewithal to fund them even until the end of the season, and they have no facility to run up debt.

    Any saviour would have come in last year or certainly before now.

    That’s the reality. The rest is froth.


  28. BT have paid double what SKY ITV had previously paid for UCL rights.
    Anyone else remember a chap once boasting that ‘for every fiver they spend we will ….’ yadda yadda … and we all know where that ended up.

    A bubble usually has at least the following three traits:
    1. Some presumption that the market in whatever it is will keep going up … because it always has gone up.
    2. New entrants to the market – with less experience of said market and greater likelihood of bad investment decision.
    3. Borrowed money to invest – repayment of which is assured by 1. above.

    Collapse comes when the realisation hits that borrowed money might not get paid back, borrowed investment dries up and there isnt enough investment return to pay back debts – the house of cards falls.
    I wonder who BT have borrowed their investment money from?

    On the other hand, the markets that escape the bubble popping are the ones where either a technological advance or a new market expansion saves them – where efficiencies and/or market expansion provides enough return to pay the debts run up.
    I suppose in this case the next technological step could be better streaming internet TV and/or 4G mobile, and China, India and Africa could be the upcoming market expansion.

    We shall see.

    For BT, As a mature company with cash the investment in premium football to protect key market and maybe gain a new market makes sense.

    For Sky, as a mature company, that is why sky went into phone and broadband, to gain a new market.

    Absolutely, the carcass stripping of TRFC by RIFC for the good of the CABAL behind the Craig Whyte Administrators Duff & Duffer is not for the benefit of anyone but the SPIVS.

    I have to wonder whether Companies House have reported this matter to Police Scotland and wonder what others thoughts are on what the document might be and whether it is refers to Sevco 5088 Ltd or Sevco Scotland Ltd which became TRFCL.

    Companies House have clammed up and given a rubber ear to several journos who have questioned the incomplete Annual Return submitted wrt TRFCL two months ago. It is known that Companies House asked Rangers for the missing shareholder information but there is no sign that has been provided as the Public Registrer hasn’t been updated with the missing Annual Retrurn info.

    It may well be that it wasn’t PM who sparked police involvement but indeed Companies House. It is also worth noting that the well overdue Annual Return for Sevco 5088 Ltd still hasn’t been submitted.

    I think the crux of this one is what document is the matter for police concern and what company is involved.

    I was intrigued on hearts CVA as no-one I know who is a hearts supporter (or hibs or any other club) had shown much interest.

    Now, as a distraction, I just listened to Sportsound Extra and Stuart Cosgrove actually tried to mention Hearts on the programme. Graham Spiers made an ill-timed interruption and so Stuart’s point was lost, for the most part. But the gist of it was that Hearts too have a creditor list and, as with RFC, it was fans who paid some of the minor debts. The point he also made was that having been so vocal about the goings on at Ibrox he felt it was only right that Hearts creditors are also highlighted.

    Good man is Stuart. Bit of a lone wolf though.

    The only shareholder in THE RANGERS FOOTBALL CLUB is RANGER INTERNATIONAL FOOTBALL CLUB.

    So why is TRFC making statements about the ownership of RIFC?

    I know, I know to some people they are the same.

    However, in this case they are continuing the ongoing charade !

    Not to worry it will all coming tumbling down soon enough…..

    RIFC however do look like they are doing their best to stall the AGM …. I wonder why?

    I will catch up with a listen later.

    The parallels and disparities between RFC and HMFC are stunning and as discussed previously no one really knows how the hearts CVA will fare.

    I hope for the genuine HMFC fans I know that whatever the outcome that the HMFC fans take the consequences in good grace. I am hopeful they will.

    The BBC report on the apparent Police Scotland investigation into CW links with Rangers has the comment: ‘The investigation is being carried out by Police Scotland’s Economic Crime Unit and they also want to speak to Green about a document submitted to Companies House.’
