Everything Has Changed

The recent revelations of a potential winding up order being served on Rangers Newco certainly does have a sense of “deja vu all over again” for the average reader of this blog.

It reminds me of an episode of the excellent Western series Alias Smith & Jones. The episode was called The Posse That Wouldn’t Quit. In the story, the eponymous anti-heroes were being tracked by a particularly dogged group of law-men whom they just couldn’t shake off – and they spent the entire episode trying to do just that. In a famous quote, Thaddeus Jones, worn out from running, says to Joshua Smith, “We’ve got to get out of this business!”

The SFM has been trying since its inception to widen the scope and remit of the discussion and debate on the blog. Unsuccessfully. Like the posse that wouldn’t quit, Rangers are refusing to go away as a story. With the latest revelations, I confided in my fellow mods that perhaps we too should get out of this business. I suspect that, even if we did, this story would doggedly trail our paths until it wears us all down.

The fact that the latest episode of the Rangers saga has sparked off debate on this blog may even confirm the notion subscribed to by Rangers fans that TSFM is obsessed with their club. However even they must agree that the situation with regard to Rangers would be of interest to anyone with a stake in Scottish Football; and that they themselves must be concerned by the pattern of events which started over a decade ago and saw the old club fall into decline on a trajectory which ended in liquidation.

But let me enter into a wee discussion which doesn’t merely trot out the notion of damage done to others or sins against the greater good, but which enters the realm of the damage done to one of the great institutions of world sport, Rangers themselves.

David Murray was regarded by Rangers fans as a hero. His bluster, hubris and (as some see it) arrogant contempt for his competitors afforded him a status as a champion of the cause as long as it was underpinned by on-field success.

The huge pot of goodwill he possessed was filled and topped-up by a dripping tap of GIRUY-ness for many years beyond the loss of total ascendency that his spending (in pursuit of European success) had achieved, and only began to bottom out around the time the club was sold to Craig Whyte.  In retrospect, it can be seen that the damage that was done to the club’s reputation by the Murray ethos (not so much a Rangers ethos as a Thatcherite one) and reckless financial practice is now well known.

Notwithstanding the massive blemish on its character due to its employment policies, the (pre-Murray) Rangers ethos portrayed a particularly Scottish, perhaps even Presbyterian stoicism. It was that of a conservative, establishment orientated, God-fearing and law-abiding institution that played by the rules. It was of a club that would pay its dues, applied thrift and honesty in its business dealings, and was first to congratulate rivals on successes (witness the quiet dignity of John Lawrence at the foot of the aircraft steps with an outstretched hand to Bob Kelly when Celtic returned from Lisbon).

If Murray had dug a hole for that Rangers, Craig Whyte set himself up to fill it in. No neo-bourgeois shirking of responsibilities and duty to the public for him; his signature was more pre-war ghetto, hiding behind the couch until the rent man moved along to the next door. Whyte just didn’t pay any bills and with-held money that was due to be passed along to the treasury to fund the ever more diminished public purse. Where Murray’s Rangers had been regarded by the establishment and others as merely distasteful, Whyte’s was now regarded as a circus act, and almost every day of his tenure brought more bizarre and ridiculous news which had Rangers fans cringing, the rest laughing up their sleeve, and Bill Struth birling in his grave.

The pattern was now developing in plain sight. Murray promised Rangers fans he would only sell to someone who could take the club on, but he sold it – for a pound – to a guy whose reputation did not survive the most cursory of inspection. Whyte protested that season tickets had not been sold in advance, that he used his own money to buy the club. Both complete fabrications. Yet until the very end of Whyte’s time with the club, he, like Murray still, was regarded as hero by a fan-base which badly wanted to believe that the approaching car-crash could be avoided.

Enter Charles Green. Having been bitten twice already, the fans’ first instincts were to be suspicious of his motives. Yet in one of history’s greatest ironic turnarounds, he saw off the challenge of real Rangers-minded folk (like John Brown and Paul Murray) and their warnings, and by appealing to what many regard as the baser instincts of the fan-base became the third hero to emerge in the boardroom in as many years. The irony of course is that Green himself shouldn’t really pass any kind of Rangers sniff-test; personal, sporting, business or cultural; and yet there he is the spokesman for 140 years of the aspirations of a quarter of the country’s fans.

To be fair though, what else could Rangers fans do? Green had managed (and shame on the administration process and football authorities for this) to pick up the assets of the club for less (nett) than Craig Whyte and still maintained a presence in the major leagues.

If they hadn’t backed him only the certainty of doom lay before them. It was Green’s way or the highway in other words – and speaking of words, his sounded mighty fine. But do the real Rangers minded people really buy into it all?

First consider McCoist. I do not challenge his credentials as a Rangers minded man, and his compelling need to be an effective if often ineloquent spokesman for the fans. However, according to James Traynor (who was then acting as an unofficial PR advisor to the Rangers manager), McCoist was ready to walk in July (no pun intended) because he did not trust Green. The story was deliberately leaked, to undermine Green, by both Traynor and McCoist. McCoist also refused for a long period of time to endorse the uptake of season books by Rangers fans, even went as far as to say he couldn’t recommend it.

So what changed? Was it a Damascene conversion to the ways of Green, or was it the 250,000 shares in the new venture that he acquired. Nothing improper or unethical – but is it idealism? Is it fighting for the cause?

Now think Traynor. I realise that can be unpleasant, but bear with me.

Firstly, when he wrote that story on McCoist’s resignation, (and later backed it up on radio claiming he had spoken to Ally before printing the story), he was helping McCoist to twist Green’s arm a little. Now, and I’m guessing that Charles didn’t take this view when he saw the story in question, Green thinks that Traynor is a “media visionary”?

Traynor also very publicly, in a Daily Record leader, took the “New Club line” and was simultaneously contemptuous of Green.

What happened to change both their minds about each other? Could it have been (for Green) the PR success of having JT on board and close enough to control, and (for Traynor) an escape route for a man who had lost the battle with own internal social media demons?

Or, given both McCoist’s and Traynor’s past allegiance to David Murray, is it something else altogether?

Whatever it is, both Traynor and McCoist have started to sing from a totally different hymn sheet to Charles Green since the winding up order story became public. McCoist’s expert étude in equivocation at last Friday’s press conference would have had the Porter in Macbeth slamming down the portcullis (now there’s an irony). He carefully distanced himself from his chairman and ensured that his hands are clean. Traynor has been telling one story, “we have an agreement on the bill”, and Green another, “we are not paying it”.

And what of Walter Smith? At first, very anti-Charles Green, he even talked about Green’s “new club”. Then a period of silence followed by his being co-opted to the board and a “same club” statement. Now in the face of the damaging WUP story, more silence. Hardly a stamp of approval on Green’s credentials is it?

Rangers fans would be right to be suspicious of any non-Rangers people extrapolating from this story to their own version of Armageddon, but shouldn’t they also reserve some of that scepticism for Green and Traynor (neither are Rangers men, and both with only a financial interest in the club) when they say “all is well” whilst the real Rangers man (McCoist) is only willing to say “as far as I have been told everything is well”

As a Celtic fan, it may be a fair charge to say that I don’t have Rangers best interests at heart, but I do not wish for their extinction, nor do I believe that one should ignore a quarter of the potential audience for our national game. Never thought I’d hear myself say this, but apart from one (admittedly mightily significant) character defect, I can look at the Rangers of Struth and Simon, Gillick and Morton, Henderson and Baxter, and Waddell and Lawrence (and God help me even Jock Wallace) with fondness and a degree of nostalgia.

I suspect most Rangers fans are deeply unhappy about how profoundly their club has changed. To be fair, my own club no longer enchants me in the manner of old. As sport has undergone globalisation, everything has changed. Our relationship to our clubs has altered, the business models have shifted, and the aspirations of clubs is different from that of a generation ago. It has turned most football clubs into different propositions from the institutions people of my generation grew up supporting, but Rangers are virtually unrecognisable.

The challenge right now for Rangers fans is this. How much more damage will be done to the club’s legacy before this saga comes to an end?

And by then will it be too late to do anything about it?

Most people on this blog know my views about the name of Green’s club. I really don’t give a damn because for me it is not important. I do know, like Craig Whyte said, that in the fullness of time there will be a team called Rangers, playing football in a blue strip at Ibrox, and in the top division in the country.

I understand that this may be controversial to many of our contributors, but I hope that this incarnation of Rangers is closer to that of Lawrence and Simon than to Murray and Souness.

  1. I have a TRFC question. Why did they get the oldco/clubs players. Surely having cost millions they were assets or at least their value belonged to oldco and ultimately the creditors. Why were they given to a new club ?

    ======================

They weren’t. Most of their valuable players “walked away” for nothing. The other players from the old club used the legal process of “tuping” from a company going through liquidation to a new company. Perfectly legal apparently.

“Rangers FC ceased to be a Club”…..you won’t get much clearer than that. Do you know when this submission was made ? Why have supporters of The Rangers not heard about it ? I imagine they will be quite cross 😉

  4. Over on KDS, remarkable that Der Union Bears (not sure why the German connection) had a a banner that was unnoticed in MSM given the fuss over other GB banners

For those who don’t want to look its essentially abuse at Mike Ashley aka the same way they told Bill Millar and GB told UEFA where to go in no uncertain terms!

  5. Actually my mistake – Der Union Bears on closer look is Blue OrDER UNION BEARS – did not see the Blue Or at first glance.

I stand corrected on the German slur Dankeschon 🙂

Looks like that display was from the recent ‘pay at the gate’ reserve game, just guessing from the empty upper tier. Maybe they do not comment on displays from reserve fixtures……

The Land Registry shows no fixed (or floating charges) over Ibrox. The staff there would have examined the title deeds and disclosed any outstanding security

Whose name is on the title deeds? Is it RIFC? TRFC? Either of the Sevcos? A.N.Other?

The submission by the Club through their lawyers that the Club has died is significant.it is like giving away a Queen in a game of chess.

What are the Club so fearful of that they felt they had to tke this step to head off the LNS enquiry?

    ****

Correct – it was the “away” match v QP played at Ibrokes the other night. However, according to the match reports being filed in the MSM there were plenty of journalists there to see the new club gain their first honour – surely none of them filed the BBC report verbatim 🙂

Anyway, winning the SFL Reserve league at their first attempt – albeit that part time reserve players (i.e. ones who cannot get into the East Stirling starting team) must be not quite at the level TRFC youngsters are – most of them feature in the first team anyway……however congrats to them on their great acheivement. 😉

Since TRFC fans were charged a fiver and QP were the home team, who does the money go to?

Same charity as the DU SC game proceeds?

As Jim Bowen in Bullseye would say “Your money for Charity’s quite safe!”

  12. Mr Leggat I hope that is not some kind of threat at the end of this diatribe

Not posting the link, here is his latest rant.

RECORD MAN JACKSON’S BID TO DESTABILISE RANGERS
IT is now just 24 hours short of a fortnight since I speculated that senior Daily Record executives may have ordered a witch hunt against Rangers.

Since then, evidence has mounted which may give a number of people further cause to believe there is now an orchestrated campaign inside the fast fading Record – a newspaper which is tied to Celtic in a commercial deal – to do damage to Rangers.

The latest example of this was this week when a story, written by £90,000-a-year chief football writer Keith Jackson, claimed that chief executive Charles Green was ready to quit Rangers if controversial chairman Malcolm Murray did not resign.

    That’s absolute bunkum and balderdash!

And I cannot, for a moment, work out why Jackson would chose to write such a story, especially when I know for certain that he has been aware of the facts of the matter for almost a month.

Surely it could have had nothing to do with the fact he did not appear on the Rangers DVD, The Rising? For that sort of thing would be petty beyond belief. Not to mention, entirely unprofessional.

However, the fact of that particular matter is that Jackson was filmed for The Rising, but his contribution ended up on the cutting room floor. The Sun’s Roger Hannah, however, did feature in The Rising.

Evidence is, though, mounting of a campaign within the Daily Record, with Keith Jackson now in its vanguard, to try to destabilise his former colleague, Rangers recently appointed Director of Communications, Jim Traynor.

That is the only conclusion this old observer can reach, based on the events of the last few weeks and the way Daily Record has chosen to portray them

Such as the astonishing way credence was given to a story about Traynor, filled with lies and first published on his Channel Four blog by Alex Thomson. The Record, without applying the sound journalistic principle of checking the claims out and establishing their own sources, simply rehashed Thomson’s tripe, quoting the Channel Four man’s un-named sources.

Or at least, that is the way it appeared in print when the Record splashed on the story. Unless, that is, the Record actually knew the source of Alex Thomson’s story.

There was also a piece by Jackson which took aim at Charles Green, Imran Ahmad, Brian Stockbridge, Jim Traynor and manager Alastair McCoist. That was when he wrote that Rangers had no class on and off the park.

A crescendo was reached in the Record’s campaign to de-stabilise Rangers – by foul means not fair – with the Jackson story about a rift between chief executive Green and chairman Murray. It was cunningly written to create the impression that the story had been leaked by the club.

It was not! I can assure you of that 100 per cent. Take my word for it. It is the copper bottomed, unalloyed truth.

There was another aspect of Jackson’s Daily Record story which was far from true. He hinted that one director, former manager Walter Smith, was ready to throw his considerable influence behind Malcolm Murray.

Nothing could be further from the truth. But I leave Walter to take that matter up with the man who wrote the story. Walter Smith has never needed anyone to take up his cause for him. He is more than capable of fighting his own battles.

Twenty four hours after Jackson’s story in the Record appeared, Richard Wilson in the Herald, a man with good, close, confidential and trustworthy sources inside the Blue Room, made it clear that it was Malcolm Murray’s public behaviour which was causing concern in the Blue Room.

Malcolm Murray may think the time he spends in London is time when he is not on public show as the chairman of Rangers. That is not the case.

My information, from an unimpeachable source, someone I have known and trusted for more than 30 years, is that Keith Jackson was aware of all of this, yet chose to apparently deliberately misrepresent the facts and slant what he wrote to make it appear to those who are not aware of the complete breakdown of his relationship with Rangers, that the leak came from within Ibrox.

As I have said before, it did not!

I do not know where the leak came from, but I do know where it did not come from.

What I am also not completely aware of, yet, is exactly how much pressure is now being placed on Daily Record sports writers and reporters to dig the dirt on Rangers and bloggers who take up the Rangers cause. As I said, I am not aware of how much pressure is being applied by senior Daily Record executives for them to do that.

    Yet!

As to how the situation regarding Malcolm Murray will play out? My prediction is that there will be a negotiated departure with kind words spoken by both sides.

Anything else could perhaps prove to be too dangerous to Malcolm Murray for him to contemplate.

That is as naked a threat to a named individual as I have ever seen published. I think Leggat is sailing close to the wind here.

I also notice that suddenly Murray is a “controversial chairman”. Whereas Green is the understated voice of reason? What a joke. Trouble at ‘t mill down Ibrox way, of that there can be no doubt at all.

re.Dundee administrations. The first was a very curious affair – how could a club that size rack up c£23m debt, even with its Italian project? How did they manage to get out of that without going bust? The second administration was an almost inevitable consequence of the first as they were still trying to pay off football debts and they struggled in Division One last year and the SPL this. Despite Rangers appearing to have access to much greater funds it may be that they will also struggle to reach the standard they believe they have a right to operate at.

Dundee fans contributed to Barry Smith’s exit because of their unrealistic expectations of a manager who had the poorest squad in the SPL. Look out Ally.

  24. Just an observation. So the illustrious trio of Mark Daly, Alex Thomson, and Rangers Tax Case won prestigious awards for their coverage of the Rangers implosion.

And the serried ranks of all those Scottish commmentators and/or ‘journalists’ who rubbished their views and proffered articles devoid of research, fed from PR depts…….didn’t.

  29. More Melton Mowbray’s from Charles

    http://www.dailyrecord.co.uk/sport/football/football-news/charles-green-says-world-cup-1717114

The Yorkshireman made the claim in front of 300 fans when he addressed the Rangers Supporters Association. During a meeting at Ibrox on Friday night, Green told the RSA that the Juventus episode was so successful he was now going to offer the use of Murray Park to Wales in order to aid their preparations.

    http://www.telegraph.co.uk/sport/football/teams/rangers/9883402/Wales-to-reject-Rangers-offer-to-train-at-Murray-Park-prior-to-Scotland-World-Cup-qualifier.html

“For one thing, the first we knew of any offer was when we read about it in the press on Tuesday,” said a spokesman for the Welsh FA.

“I spoke with the head of our International Department this morning and he confirmed that there has been no official correspondence from Rangers on this issue.

So that’s now the WFA, to add to the Dallas Cowboys, The Central Coast Mariners, Walt Disney, Apple etc etc.

I fully accept the principle of trying to keep up the profile of the club given their current position but surely it is only a matter of time before these antics start having a negative impact, especially when there appears to be little progress on commercial deals and the like along with boardroom fall outs.

  30. Is there a person with journalistic credentials out there who would like to get in touch with Juve to find out if they know of any tie up with Rangers as reported? 🙂

  31. Leggat

Some interesting media issues arise in the sea of bile.

Firstly Leggat admits to sitting on the exclusive ‘facts’ re Malcolm Murray for a month and therefore must surrender any shred of being viewed as an objective journalist rather than a Rangers’ mouthpiece.

He also sits back and allows this chairman, who is allegedly tarnishing the image of Rangers in public, to carry-on and not reveal the details on his blog for his followers.

Through all this time he claims to know that Jackson is in possession of the true ‘facts’ of the Malcolm Murray story. But Leggat chose not to sell this exclusive to a newspaper and not to run it in his blog while knowing a senior Record journalist also had the details.

I don’t know if Leggat’s alleged source for the Malcolm Murray story was the same as Jackson’s source but I find it very difficult to believe that Leggat wouldn’t have immediately hot-footed it to Ibrox – a month ago – to let them know Jackon had the story.

Then we have Leggat’s interesting comment on Richard Wilson: ‘A man with good, close, confidential and trustworthy sources inside the Blue Room, made it clear that it was Malcolm Murray’s public behaviour which was causing concern in the Blue Room’.

It will come as no surprise to some posters on here that Wilson ran his version of the story the day after Jackson’s exclusive presumably based on his Blue Room sources. If that is the case then one can but wonder what Wilson did to independently check what his sources were telling him. Perhaps he didn’t feel the need to dig that deeply given how ‘trustworthy’ his Blue Room sources are said to be.

One thing for sure is that I certainly would have difficulty in describing Wislon’s alleged Blue Room ‘cabal’ as ‘confidential’.

It beggars belief that Wilson can state in his original story: ‘The Rangers board of directors have asked the chairman, Malcolm Murray, to stand down’. How does Wilson know this when the matter hasn’t been reported to AIM. It would appear it must have come from a Rangers director or perhaps an Ibrox mole with access to the decision. Wilson also states info from two previous Rangers International Boar meetings.

There is no mention in his initial story of Wilson attempting to contact Murray or any of the fans who have supposedly complained although in today’s follow-up, Wilson states: ‘Herald Sport understands that efforts were made by the Ibrox club yesterday to contact Murray’. There is still no mention by Wilson of any attempts by him to contact Murray or the fans allegedly involved although he predicts Murray could be gone by today.

I previously thought that Rangers might be fatally holed below the waterline by a deadly torpedo attack now it seem it is capable of being sunk by the number of leaks it appears to have sprung – might take slightly longer but will be no less cataclysmic.

  32. Was there anything on Sevco’s official site stating details of the tie in with Juve? Where was this published? I can’t see anything on their site about it – surely that would be the sort of thing you’d have on your official site? no

  33. Re Mr Leggats latest.

He seems to know that the leak did not come from inside Ibrox. If not then where? The DR was not the only paper to run with this story. All the tabloids that carried the piece quoted from a meeting that took place within the fortress Ibrox walls. The phrases and comments used in all of these pieces were almost identical and would not only suggest a leak from within Ibrox but a carefully orchestrated written brief for all and sundry within the press corps to do with as they seen fit. As Mr leggat states he knows where the leak did not come from. So do I. It did not come from Celtic FC, The SFA or the wee man on the moon for that matter but I am pretty sure I do know where it DID come from. ‘And I aint no Sherlock Holmes’

  34. FFS…Leggat? really,

I thought we were above the ramblings of an incoherent jakey. It’s bad enough we discuss The Hutt’s ramblings (but at least on topic because of his current job) but leggatt is several rungs below the likes of Chris Graham and Mark Dingwall. Come on, the man is best ignored.

Certainly not a reliable source of anything informative or objective. He changes sides more often than Kenny Miller

The first thing to realise is that the lawyers were referring to the SPL’s version of a “Club”. This word has it’s own meaning within the SPL rules and articles. This is entirely different (though it should not be) from the general definition of an association football club – as per the SFA/UEFA/FIFA.

LNS only provides selected quotes from the emails & letters that passed between the SPL and OldCo’s & NewCo’s lawyers; but it appears to me the lawyers were arguing that NewCo were never registered holders of an SPL share so were not and never have been a “Club” – as per the SPL definition.

OldCo’s lawyers say that as they sold their SPL share to NewCo on 14th June, they ceased to be an SPL “Club” on that date. The SPL say that until the share was transferred to Dundee (on 3rd August), OldCo remained the registered shareholder.

LNS constructed a fairly convoluted argument to attempt to separate the Rangers FC “Club” from the company that “owned & operated” it. His assertion is that the Club was transferred from OldCo to NewCo. He doesn’t think that it matters whether the effective date was 14th June or 3rd August.

The second point to note is that the LNS construct relies heavily on a “Club” being the “undertaking of an association football club” and “includes the owner & operator of such club”.

From these words he deduced that the “undertaking” was the Club and the “owner & operator” was the company.

What I believe LNS missed was SPL Article 4 “Unless the context otherwise requires, words or expressions contained in these Articles bear the same meaning as in the 2006 Act but excluding any statutory modification thereof not in force when these Articles or the relevant parts thereof are adopted.”

The Company Act of 2006 defines an “undertaking” as EITHER

    “a body corporate or partnership”
    or
“an unincorporated association carrying on a trade or business, with or without a view to profit.”

As Rangers Football Club was incorporated in 1899 and was not a partnership, the only possible definition that can apply is that “undertaking” for the purposes of the SPL articles is a “body corporate”.

And of course, “body corporate”, means “company” or “corporate entity”.

So, as far as I can make out, the SPL articles say that a Club is the corporate entity of an association football club”. In other words, the articles tell us that the Club IS the company.

    ooh a bit harsh 🙂

The fact is that in all walks of life there are chancers who get away with nonsense without ever being challenged. In some places of work these idiots manage to get to the top and somehow people continually buy into the BS and the idiots just keep spouting it.

Try and point out that it is all BS and you are not a team player!

The older you get the worse it is.

My wife came back from work the other day saying she had wasted another hour of her life listening to a new director spout the exact same ‘motiovational’ nonesense the previous guys did when they were in post and the place has not improved one bit over the last five years because basically they are under the cosh in terms of cutting staff and budgets etc.

Of course lower down the food chain normal people end up getting the boot or severely reprimanded for the most minor of discretions.

As discussed, there is nothing wrong about talking up your organisation and trying to do your best but Green constantly spouting rubbish of this nature should really be challenged by the ruling authorities and the four estate.

To be fair and offer balance this comes from Pie and Bovril

Rangers will this week reveal they’ve agreed a 2 year youth exchange programme with Juventus.

The plan involves Juventus sending players from their youth squad to Glasgow on loan, with Rangers youngsters being given the chance to train in Turin to aid their development. Juventus will have the option to sign up any players who impress. The agreement was reached during the Italian side’s visit to Murray Park last week.

Juventus Youth Sector Chairman Andrea Agnelli talking on the club’s TV channel:

“Rangers are the old lady of not just Scottish, but British football. We are honoured to be working with the club in the aim to improve the young players of both clubs who will hopefully become the next generation of gifted European football players. We will do whatever we can to give our players valuable competitive experience, and at the same time they will lead Rangers back to the main leagues and competitions, where they belong.”

    ==========================
    No.

Sevco may have physically held the share certificate; they may even have claimed ownership – as they did with Rangers SFA membership; but unless the SPL agreed to register the Rangers share in the Sevco’s name – which they did not – Sevco could not become the registered holder.

As the share was never registered in Sevco’s name, Sevco were never an SPL Club.

This is why Rangers (still the registered holder) still got to vote for Sevco’s admission to the SPL – even though they were no longer operating as a football club of any description.

The SPL and SFA simply went 6 or 7 weeks pretending that Rangers had not ceased to operate in order to keep their SPL spot open for the successor club.

  43. I feel dreadfully sorry for the Board of TRI and Mr. Murray. They all love the club so much and would only act in the best interests of the club. It should be easy to sort out and the Board has asked Mr. Murray to step down nicely from his £50,000 per annum post. The problem is that he doesn’t have to go immediately. To sack him now the Board must show cause and that may be both difficult to prove and keep the reasons secret. Otherwise they have to give Mr. Murray 6 months notice to leave. The usual compromise would be to give him £25,000 in lieu of notice which is a small sum to smooth the waters. The problem with that is that it does not prevent Mr. Murray speaking in public about his 9 months at Glasgow Rangers. Therefore the Board need a confidentiality agreement to prevent a book, a news outlet paying for an exclusive (Mr. Traynor will know the going rate I’m sure) or even a public service broadcaster producing a documentary in which “The Man Who Chaired The Jerseys” gives his side of the story for the public interest. This may need Mr. Green to dig a lot deeper in his pockets.

Mr. Murray may have unluckily missed the EBT boat but he did acquire 200,000 shares pre 06 December 2012 for, possibly, as little as only 1p each (or nothing if some are to be believed) and another 71,429 on Admission to the Aim. The eagle eyed among you will note that 71,429 x 70p (the launch share price) equals his first years salary (and 30p). Is there a possible dispute that Mr. Green thinks that he has already paid the first 3 months of the in lieu payment?

Anyway I’m sure that it is all about principles and nothing at all to do with money.

  44. I’ve contacted Juve press office about the TRFC link up…..we’ll see if hey reply and if it’s true.

  45. Corporate Governance or Louden Governance
Well another day and another story for Rangers. Charles Green wishes his Chairman Malcolm Murray to leave. What exactly has Murray done to create this hugely damaging rift to the club/company. I am reminded of the treatment meted out to a genuine Rangers man in Alistair Johnston who having commissioned an investigative report into Craig Whyte and voted not to accept Whytes offer for the club, was overuled by Murray and derided by the fans. He continued to warn against Whyte and was dispatched for his troubles without any real support from the fans or MSN who were by now firmly on the Whyte bandwagon. To be fair Alistair Johnston was spectacularly correct about Whyte although I do not hear too much praise for him from the fanbase or the MSN. So the question is “Is history repeating itself?”
Rangers International is PLC has to observe the rules of the AIM market. The rules are fairly clear in that the company has sold some of its equity in a public offering. The public were shown a prospectus which was approved by the nominated advisors of the company, namely Cenkos. Cenkos possibly with some help from Zeus Capital appointed non executive directors for the company. The major non executive appointment was the chairman and they chose Malcolm Murray. They presumably chose Murray because he was a well known Rangers man with a good track record in business and reputedly a decent man. In short, a safe pair of hands. Murray has a good reputation and will know all about The Cadbury Code and the role and responsibilities of non executive directors. NED’s are required to represent the interests of the shareholders of the company and ensure that the company operates legally and complies with the AIM listing requirements. Failure to comply with these requirements can lead to suspension and cancellation on the market. It is crucial in a PLC environment that the nominated advisers manage the public information and not the statements , unless authorised and agreed with the nominated advisors, of Charles Green.
There is a rule for the general disclosure of price sensitive information which broadly says that the company must issue notification without delay of any new developments which are not public knowledge concerning a change in:
    ♦ its financial condition;
    ♦ its sphere of activity;
♦ the performance of its business; or
♦ its expectation of its performance,
Which, if made public, would be likely to lead to a substantial movement in it’s share price. So any material changes to the prospectus numbers need to be dealt with by the nominated advisors through the normal public company channels. So if Chico thinks he is not going to make his numbers then he has to disclose via The Reuters News Service that he has a problem which constitutes effectively a profit warning. Profit warnings can reduce your share price by 25% in 25 minutes in some cases so companies are loathe to use them unless they have to. Any great news not on the prospectus such as potential to be a £100 million turnover club should also be handled this way. You cannot tell people in Australia or Yoker news outside the official news that is pertinent to the original prospectus. This is exactly where the Chairman and non executives have to act if they feel that there has been some misleading, fanciful or downright inaccurate public communication going on.
The point here of course is that Green has made many statements regarding the company numbers in public forums. Oddly four weeks ago they were going to make a loss then ….the following week they were heading for a profit. His comments on potential turnover such as the club/company will be worth £500 million in 5 years, the club/company turnover will exceed £100 million without TV are quotes to illustrate the point.. Failure to comply with the listing rules can lead to suspension and cancellation on the market. The point here is that the nominated advisers are key to managing the process and the chairman and his non executive directors are responsible for ensuring that the process is being adhered to.
I certainly believe that Murray understands the public information issue and may have tried to sort it out behind closed doors, which of course is correct. I suspect also that he will have spoken to the institutional shareholders and the nominated advisors and voiced his concerns. This action might have put him into a collision course with Green whom he may wish to put in a box called proper corporate governance. Green presumably wishes to be in a box called “Louden governance!”Now the story is leaked…by who?…so it immediately becomes a Green walking away, versus a chairman who now appears to have a drink problem and has insulted one or maybe two fans scenario. Seriously, is this the position which confronts Rangers fans. It is sad because the fans of Rangers have been terrific and supported their team in huge numbers in what is undoubtedly the worst time in their history. Frankly they deserve better. Added to all this nonsense is the news that Green is offering Murray Park to the Welsh FA to prepare against Scotland. Green needs to remember which country he lives in. I am not a great fan of the SFA although I am a great fan of Scotland. The two positions are not mutually interdependent and I bet most Scots fans feel the same. If Wales asked to use the Murray Park facilities I would have no issue as I would cover that scenariono under good Scottish hospitality. Doing it to spite the SFA is, however, quite mad. Walter Smith was the Scotland manager so it would be interesting to hear his view on this one!

So it is Murray versus Green. I think I would want to know exactly what Murray has done versus what Green has said and not delivered. I think therefore when you remember the links to Manchester United, Adidas, Dallas Cowboys, Euro championship players, three billionaires, West Coast Mariners, Murray Park etc then Murray must have done something really terrible! Look forward to Green becoming Executive chairman ( A la Sir Stuart Rose at Marks and Spencer) with a board completely under control and Malcolm Murray retiring on ill health grounds with a big financial package in one hand and a non disclosure agreement in the other.

    Leggat
    ————————————————————
I just wonder if the new Communications guru at Ibrox is enlisting the help of Leggat and Wilson to spread the Charles Green gospel. Leggat’s primary audience are the zealots (copyright Blotto) on the various Rangers messageboards. He can tell them what they want to hear in unrestrained language that TRFC official website daren’t use. The trusted Richard Wilson can utilise his columns in the Herald to give the Green version of events a veneer of respectability.

If Traynor has to resort to feeding the likes of Leggat material to proclaim the TRFC message and denegrate all others, then he is batting on a sticky wicket. It takes skill and experience to become accomplished in promoting your product, dealing with crisis management and operating damage control. Traynor has grown up writing outrageous tabloid copy, in the knowledge that it will be tomorrow’s chip wrappers and be happily forgotten. PR is a different game entirely. Due to his ‘personality’, Traynor has made many enemies within the media, editors and journalists alike. Green tells us that Jim has the dirty on his former colleagues, thus inferring that Jim will not hestitate to exploit this to get them to do his bidding. I wonder what skeletons poor old Leggat has in his cupboard that is encouraging him to extol the virtues of Charles Green? After all, it wasn’t so long ago that Blotto hailed Craig Whyte as a poker player from the top drawer. He also warned the bluenoses that Green was the proverbial snake-oil salesman. This was before his sudden conversion on the road to Damascus last Novemeber.

Indeed, after learning my lesson, I realised that sometimes mad people are intrinsically more truthful than ‘normal’ ones. The trick is to recognise that their perpective might be skewed and if that is understood then valuable insights can sometimes be gained from whatever the source.

I personally believe that Richard Wilson may well be highly sensitive over the ringing endorsement he has received from Leggat and just how well-quoted the Herald journo is regarded in the Blue Room not that it was any surprise to myself.

Terms included a 1 month notice period from either party and a standard confidentiality provisions.

Good call with regard to the 71,429 shares but his salary as chairman is £60k so it could have been a part salary sacrafice for £50k worth of shares.

Walter’s salary in the prospectus is £50k and the other non-execs £40k

Did they get offered shares to those amounts?

Looking at the prospectus it may be that the £50k worth of shares is related to him standing down as Chairman of RFCL – see below. Perhaps he was working for free in that role until the IPO and his shares were the pay off.

Under a Scottish law agreement dated 18 September 2012 (but to be effective on
14 June 2012), RFCL employed Malcolm Murray as a non-executive director of RFCL
for a salary of £50,000 per annum. The agreement is terminable by RFCL either for
cause or on 6 month’s notice and by Mr Murray on 6 month’s notice. Following
termination, Mr Murray is restricted for 12 months from, without consent, soliciting
or enticing away any director or employee of RFCL, or knowingly employing or
procure employment by others; or soliciting or enticing away any person, who was a
customer of RFCL for the 12 months prior to the date of termination.

  51. Maybe the “recent fallout” amongst the Board is about money….if someone or even a group of early investors have been cashing in their chips too soon (such as shares awarded at no or little cost pre IPO) recently and breaking a “gentleman’s agreement”.

  60. Murray v Hart

Mr. Malcolm Murray is Independent Non-Executive Chairman of the Board of Rangers International Football Club PLC. Malcolm has had a 32 year career in fund management. At Phillips & Drew, he was instrumental in building up their distinctive long term investment style which involved taking stakes in companies and working closely with management on strategy. He also helped develop one of the first clearly defined corporate governance policies where Phillips & Drew were one of the earliest fund management companies to vote all shares on all resolutions. He is also currently Non-Executive Chairman of MWB Business Exchange plc.

Mr. Ian Hart is Non-Executive Independent Director of Rangers International Football Club PLC. Ian has a broad knowledge of Scottish business and has worked for a number of charities in Scotland. He was appointed Senior Partner in Hacking and Paterson in 1990 and still contributes to this operation, as well as being on the Scottish Committee of Barnardo’s.

It is worth remembering that Hart was the Blue Knight that Green announced as an original investor in Sevco only for Hart to almost immediately deny it. He did however become an original investor and purchased shares.

Being always wrong or always right isn’t usually the case in my experience as most people usually have a mixture of right and wrong in what they say and that’s even when they attempt to be totally objective as opposed to being totally agenda-driven.

I am always much more interested in the position of those who are diametrically opposed to my own as I find dissecting even grossly repugnant views and understanding the culture and thought processes involved very helpful in examining the strength or weakness of my own position.

Indeed I regard it as usually much more valuable to me personally than just being exposed to a comfort-zone of like minded beliefs. I accept that my approach might not suit all as we have our own ways of examining and testing our beliefs although some never do and slip ever-deeper into the quagmire of isolation and extremism.

Hello all. I read of some fussing about Companies House showing a mortgage charge over Sevco. As mentioned by others above, this is just the Scottish Sports Council’s charge on Murray Park and does not have any practical financial implications- and does not mean that Sevco have external debt.

However I also noticed on a T01 form, that Malcolm Murray was terminated as a director back on 18th December. Is that old news and it just didn’t create much fuss or is this new information?

Here is a copy of the TR-01

Added to all this nonsense is the news that Green is offering Murray Park to the Welsh FA to prepare against Scotland.
    ——

There was word of this on RM, where Mr Green was quoted as saying that following Juve using Moses Park he intended to offer the Welsh FA the use of it before their game with Scotland – whilst chuckling.

The bears took it as a joke, a bit of WATP anti-Celtic, anti-SFA ribaldry. Their favourite, as Mr Green is well aware.

Seems it’s been picked up by the bright-spark MSM as a story worth reporting, which just goes to show how a stage aside can be inflated by a lazy journalist trawling the internet to fill that last column before press time.
